ELAINE P. DE GUZMAN (epd@fmh.ph) obtained her Juris Doctor degree from the University of the Philippines in 2013 and was admitted to the Philippine Bar in 2014. She graduated with a degree in Bachelor of Arts in Political Science at the Bicol University in Legazpi City in 2007.
Prior to joining FMH, Ms. de Guzman worked as a Tax Supervisor in one of the Big 4 internationally affiliated audit firms and has authored several articles published in The Philippine Star on topics relating to tax and corporate laws.
Her main practice areas are Intellectual Property and Corporate, Commercial and Finance. She has extensive experience in handling mergers and acquisitions across various industries, particularly in the insurance, logistics, and livestock sectors. Her experience includes conducting legal due diligence, preparing transaction documents, until closing of transaction.
She has substantial experience in the drafting, review, and negotiation of cross-border commercial contracts. She is the Resident Agent of foreign corporations, oversees corporate secretarial work, supervision of compliance with the Securities and Exchange Commission, and registrations with various government agencies.
Ms. de Guzman is also a member of the Taxation practice group. She represents clients in administrative and judicial protests of tax assessments before the Bureau of Internal Revenue (“BIR”) and the Court of Tax Appeals, corporate rehabilitation/liquidation, and the settlement of estates. She also renders tax opinions and assists multinational and local clients in corporate tax structuring and applications for tax rulings with the BIR.
Ms. De Guzman also supports the commercial arbitration team and the Public-Private-Partnership practice group of the Firm. She has appeared as counsel before the Singapore International Arbitration Centre in a case involving a mining dispute.
